Key Compliances under GIDC Rent Regulations

Background

GIDC Rent Regulations have been framed by the Gujarat Industrial Development Corporation (GIDC) — a statutory corporation established under the Gujarat Industrial Development Act, 1962 — to govern the leasing, occupation, use, and management of industrial plots, sheds, and godowns allotted by the Corporation to allottees across its industrial estates in Gujarat. These Regulations establish the contractual and procedural framework under which allottees are granted leasehold rights over GIDC properties, and prescribe the obligations that lessees and occupiers must observe throughout the tenure of their lease.

Over time, the Regulations have been supplemented by various circulars issued by GIDC addressing specific operational matters — including zoning restrictions on sub-leasing, sub-lease fee structures, approval and charges for installation of mobile telecommunication towers on allotted plots, and the procedure for obtaining corrigendum orders where plot or shed areas are revised pursuant to measurement or demarcation. Together, the Regulations and circulars form a comprehensive compliance framework for all entities holding leasehold rights over GIDC industrial properties.

Applicability

GIDC Rent Regulations apply to all allottees, lessees, and occupiers of plots, sheds, godowns, or other properties allotted by the Gujarat Industrial Development Corporation across its industrial estates in Gujarat. This includes allottees executing a lease deed for the first time before taking possession of GIDC property; lessees responsible for the maintenance and upkeep of leased property throughout the tenancy; lessees or occupiers seeking to sub-let, assign, or transfer leased property (subject to prior authorisation and zoning restrictions); lessees liable to pay electricity and similar utility charges directly to the relevant supply authorities; allottees seeking to install mobile telecommunication towers on allotted plots; and allottees whose plot or shed area requires revision pursuant to measurement, demarcation, or rectification of records.

Compliance Requirement Under the act in Accordance with the Rules & Regulations:

  1. Lease Deed with GIDC (Regulation 17)

Every allottee shall execute a lease with the Corporation in such form as the Corporation may require, agreeing to take the godown or other property of the Corporation to be let out, and agreeing to observe and perform the terms and conditions thereof, before taking possession. Before entering into the lease with the Corporation, the allottee shall pay all dues payable to the Corporation under the applicable scheme.

  1. Maintenance of Leased GIDC Property (Regulation 20)

The responsibility for the maintenance, running, upkeep, and keeping in good condition of the godown or other property taken on lease shall rest with the lessee throughout the period of tenancy.

  1. Restriction on Sub-Letting, Assignment and Transfer of Leased Property (Regulation 9)

No sub-letting, assignment, transfer, sale, or mortgage of any GIDC godown or other Corporation property shall be permissible without authorisation. Any unauthorised sub-letting, assignment, transfer, sale, or mortgage shall constitute a breach of the lease deed and shall be invalid and ineffective. Such unauthorised action shall, without prejudice to any other punishment prescribed under these Regulations or any law, entitle the Corporation to evict the lessee and/or any person in occupation of the godown or other property of the Corporation. The lessee must comply with all restrictions prescribed under the lease deed in this regard.

  1. Restrict Sub-Leasing to Permitted Uses within Applicable Zone (Circular No. જીઆઈડીસી/ઓએન્ડએમ/સીઆઈઆર/વિતરણ/પોલીસી//()39 under the GIDC Rent Regulations)

Allottees shall ensure that sub-leased properties are used only for commercial, industrial, or ancillary purposes permitted under the zoning regulations applicable to the property. The property distributed may be sub-let for commercial, industrial, or ancillary facilities only in accordance with the zone in which the property is located.

  1. Payment of Electricity and Similar Charges by Lessee (Regulation 12)

Electricity charges and charges of a similar nature shall be paid by the lessee directly to the Electricity Supply Authorities or other relevant authorities, as the case may be, as a consumer for the leased GIDC property.

  1. Pay Prescribed Sub-Lease Fee for Sub-Leasing Arrangements (Circular No. જીઆઇડીસી/પોસ્ટવિતરણ/પોલિસી/27 dated 11.12.2024 under the GIDC Rent Regulations)

The Corporation levies a sub-lease fee of 1% per annum where an allottee obtains prior approval for sub-leasing an allotted plot or shed, in accordance with the prevailing sub-lease policy. Where unauthorised sub-leasing is identified during transfer proceedings or any other application, the Corporation may recover a sub-lease fee of 6% per annum as per the prevailing policy.

  1. Obtain Approval Before Installation of Mobile Telecommunication Towers (Circular No. જીઆઈડીસી/ઓએન્ડએમ/સીઆઈઆર/વિતરણ/પોલીસી/64/13 dated 21.04.2012 under the GIDC Rent Regulations)

Plot holders shall obtain prior approval from GIDC before installing a mobile telecommunication tower on allotted industrial plots or premises. No tower shall be installed or commissioned without such prior approval being obtained from the Corporation.

  1. Pay Prescribed Annual Permission Charges for Mobile Telecommunication Towers (Circular No. જીઆઈડીસી/ઓએન્ડએમ/સીઆઈઆર/વિતરણ/પોલીસી/64/13 dated 21.04.2012 under the GIDC Rent Regulations)

Tower operators or plot holders shall pay the annual permission charges prescribed by GIDC for the authorised installation and continued operation of mobile telecommunication towers on allotted plots or premises.

  1. Obtain Corrigendum Order for Revision in Plot or Shed Area (Circular No. જીઆઇડીસી/એએલટી/પોસ્ટવિતરણ/પોલિસી/14 dated 24.08.2024 under the GIDC Rent Regulations)

Allottees shall obtain a corrigendum order from GIDC where the area of an allotted plot or shed is revised pursuant to measurement, demarcation, or rectification of records, to ensure that the official records and lease documentation accurately reflect the corrected area.

Penalty & Consequences

Following penalty provisions apply uniformly across all compliance obligations covered in this blog:

  1. Regulation 22 — Recovery of Loss, Damage or Expenses and Eviction

If the lessee or occupier commits default or fails to observe or perform any terms, conditions, covenants, or other obligations contained in the lease, any other document, or these Regulations required to be observed or performed, the Corporation shall be entitled — without prejudice to its power to re-enter or terminate the lease or agreement — to recover from the lessee or occupier such sum as, in the opinion of the Corporation, is adequate to make good the loss, damage, or expenses incurred or suffered by the Corporation. Such determination by the Corporation shall be final and binding on the lessee or occupier, and the amount so determined shall be paid to the Corporation within such time as demanded. On failure to pay within the demanded time, the lessee or occupier shall be liable to be evicted, and such amount shall be recovered as arrears of land revenue.

  1. Regulation 23 — Corporation’s Power to Act at Lessee’s Risk and Cost

If, despite the provisions of the relevant lease, the lessee or occupier fails to do anything or to restrain from doing anything as required by these Regulations and/or the lease documents, the Corporation shall have the power to get the thing done, or to prevent the thing from being done, at the risk and cost of the lessee.
