Securities and Exchange Board of India issued the Securities and Exchange Board of India (Buy-Back of Securities) (Amendment) Regulations, 2026 to amend the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018.
The amendment revises provisions relating to buy-back of securities under the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018. The amendments include changes to eligibility conditions for buy-back through the open market, restrictions relating to minimum public shareholding, timelines for public announcement and offer period, escrow account requirements, promoter share freeze during the buy-back period, obligations relating to buy-back procedures, and insertion of Regulation 24A providing an option for a company not to appoint a merchant banker and assigning specified responsibilities to the company, secretarial auditor, statutory auditor, stock exchanges and compliance officer. Consequential amendments have also been made to Regulations 4, 8, 9, 11, 16, 17, 20, 21, 22A, 24 and Schedule V.
The notification amends the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018 by making amendments to Regulations 4, 8, 9, 11, 16, 17, 20, 21, 22A, 24, inserting Regulation 24A, and amending Schedule V, as specified in the notification.
