Applicable Act/Rule: SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015; Insurance Act, 1938; IRDA Act, 1999
Applicable Section/Rule: Regulation 47(1)(b)

SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 11th July, 2023 (updated 30th January, 2026) provides formats for publishing financial results by listed companies and mandates listed insurers to follow formats prescribed by IRDAI. With the adoption of Ind AS by insurers, except those granted forbearance for the financial year 2026-27, the formats submitted by listed insurers to Stock Exchanges required changes; accordingly, formats for publishing unaudited/audited quarterly financial results for all Life Insurers, General Insurers, Health Insurers and Reinsurers preparing financial statements under Ind AS have been updated as follows: quarterly financial results in the format prescribed in Annexure I; segment-wise revenue, results and capital employed reporting in Annexure II; limited review reports by auditors in Annexure III; audit reports in the format in Annexure IV; and financial results published in newspapers under Regulation 47(1)(b) of the LODR Regulations in Annexure V.

Listed insurers granted forbearance for the financial year 2026-27 for Ind AS implementation, required to prepare financial statements under Schedule II of the IRDAI (Actuarial, Finance and Investment Functions of Insurers) Regulations, 2024, shall continue publishing financial results as per Circular No. IRDA/F&I/REG/CIR/208/10/2016 dated 25th October, 2016 and Circular No. IRDA/F&A/CIR/LFTD/027/01/2017 dated 30th January, 2017. The circular states it is issued for the limited purpose of enabling listed insurers and reinsurers to meet SEBI’s disclosure requirements under the LODR Regulations, and does not modify disclosure requirements or the manner of preparation of financial statements under the Insurance Act, 1938, the IRDA Act, 1999, and regulations framed thereunder.
