The circular operationalises the freezing of holdings of promoters and promoter group, including their associates, at the ISIN level under Regulation 24(i)(ea) of the SEBI (Buy-back of Securities) Regulations, 2018. The provision was inserted through the amendment to the Buy-back Regulations dated July 01, 2026. The freeze applies from the date of passing of the resolution by the board of directors or the special resolution, as applicable, until the closing of the buy-back offer.

Upon receipt of instructions from the issuer, NSDL shall record an ISIN-level freeze in respect of the relevant demat accounts for the duration of the applicable buy-back period. The freeze permits tendering of shares or other specified securities in a buy-back undertaken through the tender offer route. It also permits invocation of encumbrances created prior to commencement of the buy-back period, with the freeze continuing to apply to the invoked/released shares or other specified securities until the closing of the offer.

The Operating Guidelines for ISIN-level freeze and marking of “non-transferability / lock-in” are provided in Annexure-A to the circular. The charges for availing the facility are to be communicated separately by NSDL. The circular is addressed to issuers and Registrar & Transfer Agents (R&T Agents), and R&T Agents are required to inform their client companies accordingly.
